Terms of Use

Please read these Terms of Use ("Terms") carefully before using the Local Hands mobile application and related services (collectively, the "App") operated by Local Hands, Inc. ("Local Hands," "we," "our," or "us"). By creating an account or using the App, you agree to be bound by these Terms. If you do not agree, do not use the App.

1. About Local Hands

Local Hands is a technology platform that connects customers ("Customers") seeking local task and service assistance with independent service providers ("Hands"). Local Hands operates as a marketplace only and is not a party to any service agreement between Customers and Hands. Local Hands does not employ, supervise, or control Hands.

2. Eligibility

You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you meet this requirement, that you have the legal capacity to enter into a binding agreement, and that you are not prohibited from using the App under applicable law.

3. Account Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the security of your account password and not share login credentials.
• Notify us immediately at support@localhandsapp.com of any unauthorized account access.
• Accept responsibility for all activity that occurs under your account.

Local Hands reserves the right to suspend or terminate accounts that violate these Terms or that provide false information.

4. The Local Hands Platform

4.1 How It Works

Customers post jobs and set their offered price. Hands browse available jobs and accept those that match their skills and the offered compensation. Local Hands does not set prices, guarantee job availability, or guarantee the quality or completion of services.

4.2 Independent Contractors

Hands using the Local Hands platform are independent contractors, not employees, agents, or partners of Local Hands. Local Hands does not direct or control the manner in which Hands perform services. Hands are solely responsible for determining how, when, and where they perform jobs accepted through the App.

4.3 No Guarantee of Service

Local Hands does not guarantee that Customers will find a Hand for every job posted, or that posted jobs will meet minimum quality or safety standards beyond what is stated in these Terms and our community guidelines.

5. Pricing and Payments

5.1 Customer Pricing

Customers set the price they are willing to pay for a job at the time of posting. Prices are in U.S. dollars unless otherwise stated.

5.2 Service Fees

Local Hands charges a platform service fee on transactions completed through the App. The applicable fee rate will be disclosed to you prior to completing a transaction. Fees are subject to change with advance notice.

5.3 Payment Processing

All payments are processed through our third-party payment provider. By using the App, you agree to that provider's terms of service. Local Hands does not store full payment card information on its servers.

5.4 Refunds and Disputes

If a service is not completed as agreed, you may initiate a dispute through the App within 48 hours of the scheduled job completion. Local Hands will review disputes at its sole discretion. Refunds, if issued, will be processed back to the original payment method. Local Hands is not obligated to issue a refund where services were completed as described.

6. User Conduct

All users — Customers and Hands alike — agree to use the App lawfully and respectfully. You agree NOT to:

• Post false, misleading, or fraudulent job listings or bids.
• Use the App to solicit or perform illegal services of any kind.
• Harass, threaten, discriminate against, or harm other users.
• Circumvent the platform by arranging off-platform payments to avoid service fees after initial contact through the App.
• Use automated bots, scrapers, or scripts to interact with the App.
• Impersonate any person or entity or misrepresent your qualifications.
• Violate any applicable local, state, federal, or international law or regulation.

Violations may result in immediate account suspension or termination and, where appropriate, referral to law enforcement.

7. Ratings and Reviews

After a job is completed, both Customers and Hands may leave ratings and reviews. You agree that all submitted reviews are honest, accurate, and not defamatory. Local Hands reserves the right to remove reviews that violate these Terms or our community guidelines. Users may not offer incentives in exchange for positive reviews.

8. Intellectual Property

All content in the App, including but not limited to the Local Hands name, logo, design, software, text, and graphics, is owned by or licensed to Local Hands and protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from any App content without our express written permission.

By submitting content to the App (such as profile information, reviews, or job descriptions), you grant Local Hands a non-exclusive, royalty-free, worldwide license to use, display, and distribute that content in connection with operating and promoting the App.

9. Background Checks and Safety

Local Hands may, but does not guarantee, conduct background screening on Hands. The existence of a screening process does not constitute an endorsement, warranty, or guarantee of any Hand's qualifications, background, or conduct. Customers should exercise their own judgment when selecting a Hand and take reasonable precautions when allowing access to their home or property.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, LOCAL HANDS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE APP, ANY SERVICES FACILITATED THROUGH THE APP, OR THESE TERMS.

LOCAL HANDS' TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE APP SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO LOCAL HANDS IN THE SIX (6) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

11. Disclaimer of Warranties

THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LOCAL HANDS DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Indemnification

You agree to indemnify, defend, and hold harmless Local Hands, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the App; (b) any services you provide or receive through the App; (c) your violation of these Terms; or (d) your violation of any rights of another user or third party.

13. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the App shall be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. YOU AND LOCAL HANDS EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Notwithstanding the above, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm. Small claims court actions where eligible are also exempt from this arbitration requirement.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes not subject to arbitration shall be resolved in the state or federal courts located in Orange County, California.

15. Termination

Local Hands reserves the right to suspend or terminate your account and access to the App at any time, with or without cause, and with or without notice. Upon termination, your right to use the App immediately ceases. Provisions of these Terms that by their nature should survive termination — including intellectual property, limitation of liability, indemnification, and dispute resolution — shall survive.

16. Modifications to These Terms

Local Hands may update these Terms from time to time. We will notify you of material changes via email or in-App notification at least 14 days before the changes take effect. Your continued use of the App after the effective date of the updated Terms constitutes your acceptance of the new terms. If you do not agree to the updated Terms, you must stop using the App.

17. Miscellaneous

• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Local Hands regarding the App.
• Severability: If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
• Waiver: Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.
• Assignment: You may not assign your rights or obligations under these Terms without Local Hands' prior written consent. Local Hands may assign its rights freely.
• No Agency: Nothing in these Terms creates any agency, partnership, joint venture, or employment relationship between you and Local Hands.
